BRIEFLINK

BRIEFLINK TERMS OF USE

Version 1.0 Effective date: 30 October 2026

These Terms of Use (“Terms”) govern access to and use of the Brieflink platform and associated services.

Please read these Terms carefully before using Brieflink.

By affirmatively accepting these Terms, you agree to be bound by them.

If you create or administer an account on behalf of an organisation, you also confirm that you have authority to act on behalf of that organisation in relation to its use of Brieflink.

These Terms are intended for professional and business users. Brieflink is not a consumer legal-services platform.

1. About Brieflink

1.1 BRIEFLINK LTD is a company registered in England and Wales under company number 16158516, with its registered office at 4 Waggon Road, EN4 0HL (“Brieflink”, “we”, “us” or “our”).

1.2 Brieflink provides a technology platform through which solicitors, law firms, barristers, chambers and their authorised personnel may, depending on the functionality available to them:

a. create and maintain professional profiles and organisation workspaces;

b. publish and discover requests for counsel;

c. indicate or manage professional availability;

d. express interest in opportunities;

e. shortlist potential counsel;

f. make, receive and respond to booking offers;

g. manage booking and instruction statuses;

h. facilitate professional introductions between instructing professionals, barristers and chambers; and

i. carry out related administrative and workflow functions.

1.3 Brieflink is a software and intermediary platform only.

1.4 Brieflink is not:

a. a law firm or barristers’ chambers;

b. a solicitor, barrister or legal adviser;

c. an agent or representative of any User;

d. an employment agency or employment business;

e. a provider or supervisor of legal services;

f. responsible for providing legal advice to a client; or

g. a party to the professional retainer or instruction between an instructing professional, client, barrister or chambers.

1.5 Brieflink does not determine how legal work should be conducted and does not assume any professional, regulatory, fiduciary or other duty owed by a User to a client, court, regulator or other person.

2. Definitions

In these Terms:

“Account” means a User account used to access the Platform.

“Administrator” means a User authorised to administer an Organisation Workspace, including a Firm Administrator, Chambers Administrator, clerk or other authorised organisational representative.

“Barrister” means a barrister, counsel or other appropriately authorised advocate using the Platform in a professional capacity.

“Booking” means a Platform status recording that the relevant Users have progressed through the Brieflink booking workflow. A Booking is not itself the professional retainer.

“Booking Offer” means an offer made through the Platform to progress an Instruction Request with a particular Barrister or Chambers.

“Chambers” means a barristers’ chambers or comparable professional organisation represented on the Platform.

“Confidential Information” means non-public business, professional, client, instruction, contact or other confidential information obtained through the Platform.

“Instruction Request” means an opportunity, request or proposed instruction published or managed through the Platform for the possible provision of professional services.

“Organisation” means a law firm, chambers or other professional legal-services organisation represented on the Platform.

“Organisation Workspace” means an area of the Platform through which authorised Users may act for or administer an Organisation.

“Platform” means the Brieflink website, application, workspaces, services and functionality made available by BRIEFLINK LTD.

“Priority Visibility” means an eligible paid feature that may affect the order or prominence in which otherwise eligible Barristers are displayed.

“Professional Retainer” means the professional contractual relationship governing legal services between the relevant client, instructing professional, Barrister, Chambers or other relevant persons.

“Subscription” means a paid right to access specified Platform functionality.

“User” or “you” means any individual or Organisation accessing or using the Platform.

“User Content” means information, text, profile information, availability information, photographs, Instruction Request information, notes and other content entered or supplied by a User through the Platform.

3. Eligibility and Professional Status

3.1 You may use professional areas of the Platform only where you are:

a. at least 18 years old;

b. acting for business or professional purposes;

c. entitled to perform the professional role represented by your Account; and

d. permitted by your employer, firm, chambers, regulator and applicable professional rules to use the Platform for that purpose.

3.2 You must ensure that information concerning your professional status, practising status, organisation membership, seniority or year of call, rights of audience, practice areas, regulatory status and other professional credentials is accurate and not misleading.

3.3 Where relevant, Brieflink may verify professional or organisational information using public registers, information supplied by an Organisation or other proportionate verification methods.

3.4 We may request further information where reasonably necessary to confirm eligibility, authority, identity or professional status.

3.5 Verification by Brieflink does not amount to an endorsement, warranty or representation that a particular professional is suitable for an Instruction Request.

3.6 You must notify us promptly if information material to your eligibility changes, including suspension, removal from practice, loss of practising rights or loss of authority to act for an Organisation.

3.7 We may restrict or suspend access where professional status or eligibility cannot reasonably be confirmed.

4. Organisation Authority

4.1 If you create, join, manage or administer an Organisation Workspace, you confirm that you are authorised to do so.

4.2 An Administrator confirms:

“I confirm that I am authorised to create or administer this organisation’s Brieflink account and to manage users and information on its behalf.”

4.3 An Organisation is responsible for determining which individuals may act through its Workspace and what authority those individuals hold.

4.4 Administrators must:

a. add only persons who are authorised to access the Workspace;

b. allocate permissions appropriately;

c. remove or restrict access when a person no longer requires it; and

d. ensure that delegated use of the Platform complies with these Terms.

4.5 Brieflink may rely on actions undertaken by an authorised Administrator as actions undertaken with the authority of the relevant Organisation unless we have been notified otherwise.

4.6 Brieflink is not responsible for resolving internal disputes concerning authority within a firm, chambers or other Organisation.

5. Accounts and Security

5.1 You must provide accurate information when creating and maintaining an Account.

5.2 Accounts are personal to the individual User unless the Platform expressly provides an organisational or delegated-access function.

5.3 You must not share personal login credentials, permit another person to impersonate you, circumvent access controls, attempt to obtain unauthorised access or interfere with authentication or security controls.

5.4 You are responsible for taking reasonable steps to protect your password, email account, authentication methods and devices.

5.5 Where multi-factor authentication or another security measure is required, you must complete and maintain that security measure.

5.6 You must notify Brieflink promptly if you reasonably suspect unauthorised access to your Account.

5.7 Activity carried out through an authenticated Account may be recorded for security, administrative and audit purposes.

5.8 Account closure does not necessarily result in immediate deletion of all information associated with the Account. Retention is governed by applicable data-protection requirements and Brieflink's published privacy information.

6. Professional Roles and Permissions

6.1 Platform functionality may differ according to your professional role, Organisation, Subscription or permissions.

6.2 Roles may include:

a. Solicitor or other instructing professional;

b. Barrister;

c. Firm Administrator;

d. Chambers Administrator or clerk; and

e. Users authorised to act in more than one capacity.

6.3 You must use only permissions that you are authorised to exercise.

6.4 A person acting in more than one professional capacity must take reasonable care to act through the appropriate role and Organisation Workspace.

6.5 Certain Platform opportunities may be displayed according to objective eligibility criteria such as practice area, location, attendance requirements, seniority, rights of audience, timing, availability or other parameters entered by Users.

6.6 Eligibility filtering does not constitute legal or professional advice, an assessment of competence or suitability, a recommendation by Brieflink, or a decision that a particular professional should be instructed.

6.7 Instructing professionals remain responsible for selecting appropriate counsel.

7. Platform Use and Restrictions

7.1 You may use the Platform only for lawful professional and business purposes connected with functionality made available by Brieflink.

7.2 You must not:

a. use the Platform unlawfully or fraudulently;

b. misrepresent your identity, authority, qualifications or professional status;

c. impersonate another professional or Organisation;

d. scrape, harvest or systematically extract Platform data without written permission;

e. use bots or automated systems to access the Platform except where expressly authorised;

f. probe, test or circumvent security controls;

g. introduce malware, malicious code or harmful material;

h. use professional contact details obtained through Brieflink for unrelated mass marketing;

i. publish unlawful, defamatory, discriminatory, misleading or infringing material;

j. use the Platform to facilitate conduct prohibited by professional regulation; or

k. use Platform information in a manner inconsistent with the purpose for which it was made available.

8. Instructions and Publication

8.1 An Instruction Request is a Platform record describing a potential professional opportunity.

8.2 Publishing an Instruction Request does not create a Professional Retainer, constitute an instruction to Brieflink, guarantee that any Barrister will respond, guarantee that suitable counsel will be available or oblige an instructing professional to select any responding Barrister.

8.3 The User publishing an Instruction Request is responsible for ensuring that:

a. the information is accurate in all material respects;

b. the request is genuine;

c. publication is professionally and legally permissible;

d. they have appropriate authority to publish it;

e. unnecessary personal or confidential information is not included; and

f. stated deadlines, hearing information and requirements are accurate to the best of their knowledge.

8.4 Instruction Requests must be drafted on a data-minimised basis.

8.5 Users must not use general titles, descriptions, notes or free-text fields as a substitute for transferring case papers or storing unnecessary case information.

8.6 Brieflink may apply objective eligibility rules to determine which Users can view or respond to an Instruction Request.

8.7 Brieflink may remove, restrict or require amendment of an Instruction Request that reasonably appears to breach these Terms.

9. Expressions of Interest and Shortlisting

9.1 Where enabled, an eligible Barrister or authorised Chambers User may express interest in an Instruction Request.

9.2 An expression of interest is not acceptance of professional instructions, does not create a Professional Retainer, does not guarantee shortlisting or a Booking Offer and remains subject to required professional, availability, conflict, regulatory and pre-instruction checks.

9.3 An instructing professional may shortlist eligible Barristers using functionality available on the Platform.

9.4 Shortlisting is a decision of the instructing User, not Brieflink.

9.5 Brieflink does not determine whether a shortlisted Barrister is professionally suitable for a matter.

10. Booking Offers and Booking Status

10.1 A Booking Offer records that an instructing User wishes to progress an Instruction Request with a particular Barrister or Chambers through the Platform workflow.

10.2 A Booking Offer may remain subject to availability, conflict checks, regulatory requirements, client or internal approval, agreement of professional fees, receipt and review of necessary information or papers and other professional requirements.

10.3 A Booking Offer, acceptance, confirmation or other status displayed by Brieflink records the progress of the relevant parties through the Platform workflow.

10.4 It does not:

a. make BRIEFLINK LTD a party to the instruction;

b. constitute legal advice;

c. determine the terms of the Professional Retainer;

d. transfer professional responsibility to Brieflink; or

e. guarantee that the proposed instruction can lawfully or professionally proceed.

10.5 The relevant professionals remain responsible for agreeing all terms required for the professional instruction, including counsel's professional fee, scope of work, papers and information, contractual terms, regulatory requirements, cancellation arrangements and other requirements of their professional obligations.

10.6 Brieflink does not collect or distribute counsel's professional fees.

11. External Conflict and Pre-Instructions Checks

11.1 Brieflink does not undertake professional conflict checks for Users.

11.2 The Platform is not designed to determine whether a Barrister, Chambers, solicitor, firm or other professional may properly act in a particular matter.

11.3 Brieflink does not require Users to enter party names or detailed conflict information solely for conducting professional conflict checks through the Platform.

11.4 Following an appropriate stage in the booking workflow, Brieflink may make relevant professional contact information available so that the responsible professionals can undertake conflict, regulatory and pre-instruction checks directly outside the Platform.

11.5 A User must not confirm acceptance through the Platform where that confirmation would be inaccurate.

11.6 Where the Platform requests confirmation that required checks have been completed, the User making that confirmation is responsible for its accuracy.

11.7 Brieflink does not receive or require details of the substance of an external conflict check merely because a User records that the check has been completed.

11.8 If a conflict or other impediment prevents an instruction proceeding, the relevant Users remain responsible for taking any required professional action. Where available, the Platform may permit the opportunity to be reopened or reposted.

12. Chambers Delegation and Clerk Actions

12.1 Chambers may authorise clerks, administrators or other appropriate personnel to manage Platform activity on behalf of Barristers.

12.2 A delegated User must act only within the authority given to them.

12.3 Depending on available permissions, delegated activity may include managing availability, reviewing relevant Instruction Requests, recording interest, managing workflow statuses, responding to Booking Offers and carrying out administrative actions on behalf of a Barrister or Chambers.

12.4 Where an Administrator accepts or records a Booking on behalf of a Barrister, the relevant Chambers and Barrister are responsible for ensuring that the Administrator had authority to do so.

12.5 Delegation through Brieflink does not alter professional responsibility that remains personally or organisationally applicable to the Barrister, Chambers or other regulated person.

12.6 Brieflink may maintain records of delegated actions for security, accountability and audit purposes.

13. Availability Information

13.1 Users may record, manage or communicate professional availability through the Platform.

13.2 Availability information is intended to facilitate professional coordination and is not a guarantee that a professional will remain available.

13.3 Users and Organisations are responsible for keeping availability information reasonably accurate.

13.4 Where an Administrator manages availability on behalf of another User, the Organisation is responsible for ensuring the Administrator is authorised to do so.

13.5 Before relying on availability for a time-sensitive instruction, relevant professionals remain responsible for confirming the position as appropriate.

13.6 Brieflink is not responsible for inaccurate, incomplete, delayed or outdated availability information supplied by Users.

14. Professional Contact Introductions

14.1 Brieflink may disclose or make available relevant professional contact information at appropriate workflow stages to facilitate conflict and pre-instruction checks, communication between professionals, agreement of the Professional Retainer, transfer of information outside Brieflink where appropriate and administration of a proposed or confirmed instruction.

14.2 Professional contact information obtained through the Platform must be treated as Confidential Information where it is not otherwise public.

14.3 You must not sell or commercially distribute contact information obtained through Brieflink, add professional contacts to unrelated bulk-marketing lists without an appropriate lawful basis, disclose non-public contact information without authority or use it for purposes materially unrelated to the professional interaction for which it was disclosed.

15. Professional Retainer and Counsel Fees

15.1 Brieflink facilitates introductions and workflow between professional Users. It does not enter into the underlying Professional Retainer.

15.2 Relevant professionals are responsible for determining the client, who is professionally instructed, scope of instruction, professional terms, counsel's fee, payment arrangements, cancellation arrangements, responsibility for papers and information, professional complaints arrangements and all other terms of the legal engagement.

15.3 Brieflink does not set counsel's professional fees, negotiate fees as agent for a User, receive client money, receive counsel's fees on behalf of Barristers or Chambers or guarantee payment of a professional fee.

15.4 Any dispute concerning legal work, fees, quality of legal services, conduct of an instruction or terms of a Professional Retainer is between the relevant parties to that relationship, subject to applicable regulatory or legal rights.

15.5 This section does not affect a User's separate contractual rights against Brieflink in relation to provision of the Platform itself.

16. Subscriptions, Trials and Complimentary Access

16.1 Certain Platform functionality may require a Subscription.

16.2 Before a paid Subscription is purchased, the applicable price, billing frequency, included functionality and material renewal or cancellation information must be displayed to the purchaser.

16.3 Subscription payments for Brieflink are separate from professional fees relating to legal instructions.

16.4 Additional terms applying to a particular paid service apply only where they are clearly presented to the purchaser before purchase and incorporated into the relevant transaction.

16.5 Brieflink may provide trials, promotional access or complimentary access.

16.6 Complimentary or promotional access may be limited to particular functionality, subject to eligibility conditions or provided for a specified period.

16.7 Complimentary access does not create a right to receive the relevant service indefinitely without charge.

16.8 Brieflink will not treat complimentary access as authority to impose a paid Subscription unless the User or Organisation separately agrees to the paid Subscription and applicable payment terms.

17. Cancellation

17.1 A User may stop using the Platform at any time.

17.2 Cancellation of a paid Subscription affects access to Brieflink services according to the cancellation information presented for that Subscription.

17.3 Closing an Account does not:

a. retrospectively cancel actions validly taken through the Account;

b. automatically erase all records associated with previous Platform activity;

c. terminate a Professional Retainer entered into independently of Brieflink; or

d. remove obligations intended by their nature to survive termination.

17.4 Professional bookings or retainers must be cancelled directly between relevant professionals where required. Cancelling a Brieflink Account or Subscription does not itself cancel an underlying professional instruction.

18. Suspension and Termination

18.1 Brieflink may suspend, restrict or terminate access where reasonably necessary because these Terms have been materially breached, professional eligibility or authority cannot be established, fraud or misuse is reasonably suspected, Platform security may be at risk, continued access may expose Brieflink or another person to legal, regulatory or material security risk, payment properly due for a Subscription remains outstanding, or we are legally required to act.

18.2 Where reasonably practicable, we will provide notice and an opportunity to address a remediable issue before termination.

18.3 We may act without prior notice where immediate action is reasonably necessary to protect security, Users, confidential information, legal compliance or Platform integrity.

18.4 Suspension does not automatically terminate an existing Professional Retainer between Users.

18.5 Provisions concerning confidentiality, intellectual property, liability, accrued payment obligations, governing law and provisions intended by their nature to survive continue after termination.

19. Confidentiality and Data Minimisation

19.1 Users may obtain non-public information through Brieflink concerning other professionals, Organisations or potential instructions.

19.2 You must keep Confidential Information confidential and use it only for legitimate purposes connected with relevant Platform activity or the professional relationship.

19.3 Nothing prevents disclosure where the person entitled to confidentiality has authorised it, disclosure is required by law, court order or regulation, or disclosure is otherwise permitted under applicable professional obligations.

19.4 Users remain independently responsible for complying with professional duties of confidentiality.

19.5 Brieflink is not designed to require or intentionally collect through ordinary Platform workflow:

a. party names solely for conflict checking;

b. full case files or evidence bundles;

c. medical records;

d. witness statements;

e. detailed conflict information; or

f. substantive information about an external conflict check.

19.6 Users must not enter unnecessary client-identifying information, legally privileged material, special-category personal information, criminal-offence information, medical information, witness evidence or other sensitive/confidential material into general titles, descriptions, diaries, notes or other free-text fields.

19.7 Where limited personal or confidential information is genuinely necessary for an authorised Platform purpose, Users must ensure that its inclusion is lawful, proportionate and professionally appropriate.

19.8 Brieflink is not intended to function as a general case-management, document-review, evidence-storage or conflict-checking system.

20. Intellectual Property

20.1 Brieflink and its licensors own intellectual-property rights in the Platform, including software, interfaces, branding, visual design, databases and database structure, documentation, graphics and original Platform content, excluding User Content and third-party material.

20.2 Subject to these Terms, Brieflink grants you a limited, non-exclusive, non-transferable and revocable right to use the Platform for authorised professional or business purposes.

20.3 You must not, except where permitted by law or expressly authorised, copy or reproduce substantial parts of the Platform, reverse engineer the Platform, create a competing service using protected Platform content or confidential functionality, remove proprietary notices or use Brieflink branding in a manner suggesting endorsement or affiliation where none exists.

21. User Content

21.1 You retain ownership of intellectual-property rights you hold in User Content.

21.2 You grant Brieflink a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, transmit and display User Content only to the extent reasonably necessary to operate the Platform, provide requested functionality, maintain security and integrity, support Users, comply with legal obligations and exercise our rights under these Terms.

21.3 You confirm that you have the right and authority to submit the User Content you provide.

21.4 You are responsible for User Content submitted through your Account or by persons acting under your authority.

21.5 User Content must not infringe another person's intellectual-property rights, breach confidentiality or legal privilege, unlawfully disclose personal information, contain unlawful or malicious material or materially mislead other Users.

21.6 Brieflink may remove or restrict access to User Content where reasonably necessary to enforce these Terms, protect Users, respond to a lawful request or maintain Platform security.

22. Data Protection

22.1 Each party must comply with data-protection law applicable to its own processing activities.

22.2 For purposes for which BRIEFLINK LTD determines why and how personal information is processed in operating and administering the Platform, Brieflink acts as controller.

22.3 Depending on the activity concerned, Organisations and professional Users may separately act as controllers in relation to personal information they choose to enter, disclose, receive or use in connection with their own professional activities.

22.4 Nothing in these Terms determines a party's legal status under data-protection law where that status is determined by the facts and applicable law.

22.5 Brieflink's Privacy & Fair Processing Notice explains how BRIEFLINK LTD processes personal information in connection with the Platform.

22.6 The Privacy & Fair Processing Notice does not form part of these Terms and may be updated independently to reflect changes in processing activities or legal obligations.

22.7 Where an Organisation requires Brieflink to undertake processing that legally requires separate controller-to-processor terms, appropriate data-processing terms may be required before that processing is undertaken.

22.8 References to data-protection law include applicable UK privacy and data-protection legislation as amended from time to time, including the UK GDPR, Data Protection Act 2018, relevant provisions of the Data (Use and Access) Act 2025 and applicable electronic-communications privacy legislation.

23. Third-Party Services

23.1 Brieflink relies on third-party technology and infrastructure providers to operate the Platform.

23.2 These may include providers supporting hosting and infrastructure, database and authentication services, payment processing, transactional email, security, communications and notifications, and browser or device functionality.

23.3 Use of certain third-party functionality may also be subject to that provider's own terms.

23.4 Brieflink is not responsible for an independent third-party service outside our reasonable control, without affecting responsibilities Brieflink itself has under applicable law.

24. Platform Availability and Disclaimers

24.1 Brieflink will use reasonable care in providing the Platform but does not guarantee that it will always be uninterrupted, error-free or available.

24.2 We may carry out maintenance, updates, security changes or other work that temporarily affects availability.

24.3 To the fullest extent permitted by law, Brieflink does not warrant that an Instruction Request will receive a response, a particular Barrister will be available, a User will be shortlisted or booked, an instruction will proceed, information entered by another User is accurate, a particular professional is suitable for a matter, use of the Platform will satisfy a User's professional obligations or Platform eligibility/ordering mechanisms amount to professional recommendations.

24.4 Users remain responsible for their own professional decisions and due diligence.

24.5 Brieflink does not provide legal, regulatory, tax, financial or professional-practice advice.

25. Limitation of Liability

25.1 Nothing in these Terms excludes or limits liability where it would be unlawful to do so.

25.2 Nothing excludes or limits liability for death or personal injury caused by negligence where liability cannot lawfully be excluded, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or restricted.

25.3 Subject to section 25.2, Brieflink will not be liable for:

a. loss of profits;

b. loss of revenue;

c. loss of business;

d. loss of anticipated savings;

e. loss of business opportunity;

f. loss of goodwill;

g. loss arising from a professional decision made by a User;

h. loss arising from conduct or quality of legal services supplied by another User;

i. unpaid counsel fees;

j. a conflict of interest or professional-regulatory breach attributable to a User;

k. loss caused by inaccurate or incomplete User Content; or

l. indirect or consequential loss,

to the extent such liability may lawfully be excluded.

25.4 Brieflink is not liable for acts or omissions of solicitors, Barristers, Chambers, law firms, clerks, clients or other Users merely because an introduction or workflow took place through the Platform.

25.5 Subject to section 25.2, BRIEFLINK LTD's total aggregate liability arising out of or in connection with the Platform and these Terms, whether in contract, tort including negligence, breach of statutory duty, misrepresentation or otherwise, shall not exceed £1,000,000 in respect of all claims arising in any 12-month period.

25.6 The limitation in section 25.5 applies in aggregate to claims arising from the same or related events and is not multiplied by the number of Users, Accounts, Instruction Requests, Bookings or claims concerned.

25.7 Any higher or different liability limit expressly agreed by BRIEFLINK LTD in a written agreement with an Organisation applies only to that agreement and only to the extent expressly stated.

25.8 Nothing in these Terms requires BRIEFLINK LTD to maintain insurance at a particular level or gives any User rights under an insurance policy maintained by BRIEFLINK LTD.

26. Indemnity

26.1 To the extent permitted by law, you are responsible for losses, liabilities, damages, costs and reasonable expenses incurred by Brieflink as a direct result of a third-party claim arising from unlawful User Content supplied by you, infringement of a third party's intellectual-property rights through material you submit, deliberate misuse of the Platform, fraudulent misrepresentation of your identity/authority/professional status, or unlawful disclosure of another person's confidential information through the Platform.

26.2 This section does not require you to indemnify Brieflink to the extent the relevant loss was caused by Brieflink's own negligence, breach of these Terms or unlawful conduct.

26.3 Brieflink will take reasonable steps to mitigate losses claimed under this section.

27. Changes to the Terms

27.1 We may update these Terms where reasonably necessary because of changes to the Platform, changes in law or regulation, security requirements, changes to our business model or clarification/improvement of these Terms.

27.2 Each published version will have an effective date and version identifier.

27.3 Minor or administrative changes may be notified through the Platform or another appropriate communication method.

27.4 Where a change materially affects contractual rights or obligations, we will take reasonable steps to notify affected Users and require fresh affirmative acceptance where appropriate before continued use of the materially affected service.

27.5 We will not rely solely on passive continued use as acceptance of a material contractual change where fresh affirmative acceptance is reasonably required.

27.6 Where an immediate change is reasonably necessary to comply with law, address a security vulnerability or prevent material harm, it may take effect immediately. We will provide notice as soon as reasonably practicable.

28. Governing Law, Courts and General Terms

28.1 These Terms and non-contractual obligations arising from or connected with them are governed by the law of England and Wales.

28.2 The courts of England and Wales have exclusive jurisdiction to determine disputes arising from or connected with these Terms, except where applicable law requires otherwise.

28.3 These Terms constitute the agreement between Brieflink and the relevant User concerning use of the Platform except to the extent that additional terms for a particular service are expressly presented and agreed.

28.4 The Privacy & Fair Processing Notice and other privacy transparency information do not become contractual merely because they are made available alongside these Terms.

28.5 If any provision is found invalid or unenforceable, remaining provisions continue in effect.

28.6 A failure or delay by Brieflink to exercise a right does not waive that right.

28.7 You may not transfer your rights or obligations under these Terms without Brieflink's prior written consent, except as part of an authorised organisational change accepted by Brieflink.

28.8 Brieflink may assign or transfer its rights and obligations as part of a genuine corporate reorganisation, financing, sale or transfer of the Platform or business, provided this does not materially reduce contractual rights.

28.9 Except where expressly stated otherwise, a person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce them.

28.10 Nothing in these Terms creates a partnership, joint venture, employment relationship, fiduciary relationship or agency between Brieflink and a User.
